1. Definitions

For the purposes of these Terms and Conditions:

• "Products" refers to Gyro-Gale pneumatic stabilizer systems and related components.

2. Product Sales and Pricing

2.1 Pricing

All prices are quoted in USD and are subject to change without notice. Prices do not include shipping, installation, taxes, duties, or other applicable fees unless explicitly stated. Final pricing will be confirmed in your quotation or purchase order.

2.2 Orders and Quotations

All orders are subject to acceptance by Gyro-Gale Inc. We reserve the right to refuse or cancel any order for any reason, including product availability, errors in pricing or product information, or suspected fraud. Quotations are valid for 30 days from the date of issue unless otherwise specified.

2.3 Payment Terms

Payment terms will be specified in your purchase order or contract. Typical terms include:

• 50% deposit upon order confirmation
• 50% balance due before shipment or installation
• Payment methods: Wire transfer, credit card, or as agreed in writing

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

3. Shipping and Delivery

3.1 Shipping

Shipping costs are the responsibility of the customer unless otherwise agreed. We will provide estimated delivery times, but these are not guaranteed. Gyro-Gale Inc. is not liable for delays caused by shipping carriers, customs, or other factors beyond our control.

3.2 Risk of Loss

Risk of loss and title for products pass to the customer upon delivery to the shipping carrier. Customers are responsible for filing claims with the carrier for any damage or loss during shipping.

3.3 Inspection

Customers must inspect all shipments upon receipt and report any damage or discrepancies within 48 hours. Failure to report issues within this timeframe may affect warranty claims.

4. Installation Services

4.1 Installation Requirements

Installation must be performed by certified Gyro-Gale technicians or authorized dealers. Unauthorized installation may void the warranty. Customers are responsible for providing:

• Safe and adequate workspace
• Access to vessel systems as required
• Electrical power and compressed air as specified
• Compliance with local regulations and permits

4.2 Installation Timeline

Installation timelines are estimates and may vary based on vessel complexity, weather conditions, and unforeseen circumstances. Gyro-Gale Inc. is not liable for delays beyond our reasonable control.

4.3 Additional Work

Any additional work required beyond the scope of the original installation agreement will be quoted separately and requires customer approval before proceeding.

5. Warranty

5.1 Limited Warranty

Gyro-Gale Inc. warrants that our products will be free from defects in materials and workmanship for a period of two (2) years from the date of installation or delivery, whichever occurs first. This warranty covers:

• Repair or replacement of defective parts
• Labor costs for warranty repairs (within the first year)
• Technical support and diagnostics

5.2 Warranty Exclusions

This warranty does not cover:

• Normal wear and tear
• Damage caused by improper installation, use, or maintenance
• Damage from accidents, abuse, or unauthorized modifications
• Damage from environmental factors (corrosion, lightning, etc.)
• Products installed by non-authorized personnel
• Consumable items (seals, filters, etc.)

5.3 Warranty Claims

To make a warranty claim, customers must:

• Contact Gyro-Gale technical support within 30 days of discovering the defect
• Provide proof of purchase and installation documentation
• Allow Gyro-Gale to inspect the product if requested
• Follow troubleshooting procedures as directed by technical support

5.4 Limitation of Liability

THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. GYRO-GALE INC.'S LIABILITY IS LIMITED TO REPAIR OR REPLACEMENT OF DEFECTIVE PRODUCTS. WE ARE NOT LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF USE, LOST PROFITS, OR DAMAGE TO VESSEL OR PROPERTY.

6. Returns and Cancellations

6.1 Custom Products

Gyro-Gale stabilizer systems are custom-manufactured for each vessel. Once production begins, orders cannot be cancelled, and products cannot be returned except for warranty defects.

6.2 Cancellation Policy

Orders may be cancelled before production begins, subject to a cancellation fee of 25% of the order value to cover administrative and design costs. Deposits are non-refundable once production has commenced.

6.3 Defective Products

Products found to be defective upon delivery may be returned within 30 days for repair or replacement at no charge to the customer. Return shipping costs for defective products will be covered by Gyro-Gale Inc.

7. Intellectual Property

All content on this website, including text, graphics, logos, images, videos, and software, is the property of Gyro-Gale Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

The Gyro-Gale name, logo, and product names are trademarks of Gyro-Gale Inc. Unauthorized use of these trademarks is prohibited.

8. Technical Information and Documentation

Technical specifications, performance data, and other information provided on our website or in our documentation are for informational purposes only. Actual performance may vary based on vessel characteristics, sea conditions, and installation factors.

Gyro-Gale Inc. reserves the right to modify product specifications and designs without notice. We make no guarantees regarding specific performance outcomes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYRO-GALE INC. SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damage to vessel, cargo, or other property
• Personal injury or death (except as required by law)
• Delays in delivery or installation
• Failure of the product to meet customer expectations

IN NO EVENT SHALL GYRO-GALE INC.'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Gyro-Gale Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our products or services
• Your violation of these Terms and Conditions
• Your violation of any third-party rights
• Unauthorized modifications to our products
• Improper installation or maintenance

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from these Terms and Conditions or the use of our products and services shall be resolved through:

1. Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation.
2. Mediation: If negotiation fails, the parties agree to mediation before a mutually agreed mediator.
3. Arbitration: If mediation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Florida, United States, for any legal proceedings that cannot be resolved through arbitration.
